Eda Tan is a Partner of VLP focusing on general corporate and securities matters. Prior to joining VLP, Eda was General Counsel at an investment advisory firm, Avicenna Capital Management, L.P., based in London and San Francisco. She was responsible for all legal matters including the firm's formation and startup, setting up its onshore and offshore funds, and its alliance with Brevan Howard Asset Management, the largest hedge fund in Europe. Avicenna's investments were primarily in healthcare and water technology sectors.
Eda began her legal career in Singapore in 1989 at Allen & Gledhill, ranked the top law firm in Singapore, practicing as an associate in the Financial Services group. She was involved, among others, in representing borrowers or lenders in domestic and offshore syndicated banking transactions. She then moved to San Francisco and joined Morrison & Foerster's Corporate Group in 1995, where her practice focused on securities law, private and public offerings, mergers and acquisitions, and other general corporate matters. Eda then moved in-house to Charles Schwab & Co. as Vice President, Senior Corporate Counsel in the International division of the Office of Corporate Counsel. There she was in charge of the legal aspects involved in the expansion of Schwab's operations and financial products globally, including oversight for Schwab's international affiliates in Asia and Australia. In 2000, Eda returned to Morrison & Foerster as a Partner in its Corporate Group. She was the most recent Singapore-trained lawyer to have achieved equity partnership in a major international law firm. She also was the Administrative Partner of Operations in the Corporate Group, and a member of the firm's SEC Task Force which dealt with advising public companies on, among others, the Sarbanes Oxley Act and corporate governance matters. Her practice focused on representing startups, private and public companies, and venture capital funds and investors, both domestic and international, in a wide variety of corporate and strategic transactions.
Eda received her Bachelor of Laws (LL.B.) degree from the National University of Singapore where she graduated with Second Class Honors (Upper Division) in 1988. In 1989, she was admitted as an Advocate & Solicitor of the Supreme Court of Singapore. She was awarded the Cambridge Commonwealth Trust Scholarship in 1989 and obtained her Master of Laws (LL.M.) degree from the University of Cambridge (Trinity College) in 1990, where she was awarded First Class Honors. Eda is a member of the State Bar of California.
